Voxket AI Terms of Service

Please read these Terms of Service (these "Terms") carefully, as they constitute a legally binding agreement between Voxket AI ("Voxket," "we," "us" or "our") and an end-user and any employees, agents, contractors and any other entity on whose behalf the end-user accepts these terms (collectively, "you" and "your") and apply to your use of our website and Services (as defined below). In case you are utilizing the Services as a representative of a party (e.g. your employer or customer, collectively the "Client"), your acceptance of these Terms also binds the Client.

This is a binding agreement. By accessing or using the Services, clicking "accept" or "agree" to these Terms when prompted in the user interface, or executing a subscription agreement that operates as a master agreement, you acknowledge and agree that you are legally bound by the terms and conditions set forth herein. If you are entering into this Agreement on behalf of a client or another legal entity, you represent and warrant that you have the full legal authority to bind such entity to these Terms, and all references to "you" or "your" shall be deemed to refer to such entity. If you do not agree to all of these Terms, you shall not use the Service and you should not set up an Account (as defined).

1. Acceptance of Terms

By creating an account under a username, you acknowledge and agree to be bound by these Terms, irrespective of any separate services agreement to which you may be a signatory, where such agreement incorporates these Terms by reference.

You further agree to comply with all applicable policies and rules of Voxket AI, including, without limitation, the Privacy Policy, which outlines the collection, use, and protection of your personal information. The Privacy Policy and other applicable policies are hereby expressly incorporated into and form an integral part of these Terms. You are advised to review them carefully.

Your acceptance of these Terms constitutes a binding agreement that shall remain in effect until terminated in accordance with Section 7 (Term and Termination).

2. Using the Services

2.1. Right to Use and License

Subject to your full and continued compliance with these Terms, Voxket AI hereby grants you a limited, non-exclusive, non-transferable, non-assignable, non-sublicensable, but revocable: (i) right to access and use the Services; and (ii) where applicable, in the case of on-premise installations, a license to use the object code installed in your Systems (where "Systems" refers to any computing machine executing code, whether located on your premises or hosted on a third-party cloud platform). Such rights are granted solely for the purpose of deploying AI voice agents through the Services and solely in accordance with these Terms and any applicable technical documentation accompanying or provided with the Services.

You expressly acknowledge and agree that you are granted only a limited right to use the Services, and no title, ownership, or proprietary rights in the Services are being conveyed to you under these Terms. Nothing herein shall be construed as a sale or transfer of any intellectual property rights. Your use of the Services is strictly limited to the rights expressly granted herein, and Voxket AI reserves all rights not expressly granted.

2.2 What We Provide

The Services include, but are not limited to, a hosted AI-powered communication solution ("Platform") that enables businesses to deploy multimodal agents capable of understanding and responding to users through voice, video, and screenshare in real-time.

Our Platform acts as an orchestration layer over various underlying modules (including STT, LLM/NLP, TTS, emotion detection, OCR, UI tracking, and gesture recognition), integrated through our APIs or a web-based Dashboard. It allows you to capture audio, video, and shared screen content; convert audio to text; interpret intent using advanced language models; analyze visual cues for emotion and behavior; and respond through lifelike synthesized speech and contextual interaction.

2.3 Third parties

Voxket's control layer integrates with various third-party service providers (our "Providers") to power the different components of our multimodal Platform. These Providers may include transcription engines, large language models, video and emotion recognition services, optical character recognition (OCR) tools, and voice synthesis providers. As we grow, our list of supported Providers will expand.

When you use Voxket's Services—including but not limited to voice-based interaction, video and gesture analysis, and screenshare understanding—you agree and acknowledge that certain types of your input content ("Your Content") may be transmitted to and processed by these Providers, subject to their respective terms of service. Voxket makes no warranties on behalf of any such Provider, nor do we act as their agent. We serve as the orchestration and customization layer, enabling you to derive maximum value from their capabilities through a unified and seamless user experience.

2.4 Acceptable Use Policy & Restrictions

By using Voxket's Services, you agree not to, directly or indirectly (and shall not permit any third party to):

• Misuse the Platform: Use the Services in any way other than as expressly intended under these Terms
• Violate the Law: Use the Services for any unlawful, fraudulent, harmful, or unethical activity
• Create Harmful AI Agents: Develop or deploy AI agents through Voxket for any illegal or unauthorized purpose
• Misuse Voxket's Brand or IP: Use the Voxket name, trademarks, logos, visual identity, documentation, or other materials unless expressly permitted
• Tamper with IP Notices: Alter, obscure, or remove any copyright, trademark, or proprietary notices
• Reverse Engineer or Probe: Reverse engineer, disassemble, decode, decompile, extract, or otherwise attempt to uncover source code
• Automated Data Harvesting: Use bots, crawlers, scrapers, miners, or similar mechanisms to access data
• Introduce Malicious Code: Upload or transmit any viruses, malware, or other harmful code
• Disrupt Systems or Networks: Interfere with the proper functioning of the Platform
• Bypass Security Measures: Attempt to probe, scan, or test for vulnerabilities
• Dataset Generation for Models: Use the Services to create datasets for machine learning model training

2.5 Service Update

You acknowledge and agree that Voxket's Services are continuously evolving. As part of our commitment to innovation and performance, we may update, enhance, modify, or remove features, functionalities, or modules from the Platform at any time, with or without prior notice.

2.6 Fees

Usage of our Services is subject to the fees that are set out on our website. The fees you pay will be directly correlated with the amount of voice minutes processed through Voxket AI volume transmitted to our Platform. Nothing prevents us from revising the monthly fees charged for our Services, or introducing new features and benefits and charging additional amounts.

3. Creating an Account

3.1 Registration

To access the Services, you must register and obtain login credentials for an account ("Account") and provide information as prompted by the account registration flow. You represent and warrant that: (a) all registration information you submit is truthful and accurate; and (b) you will maintain and promptly update such information to keep it true, accurate, current and complete.

3.2 Eligibility

The Services are only available to end-users who can form legally binding contracts under applicable law. By accessing or using the Services, you represent and warrant that you are at least 18 years of age or over the age of majority in the state or country where you are a resident or citizen.

3.3 User Information & Credentials

When you create an Account with Voxket AI, you will be asked to choose a username and password. You acknowledge and agree that you are exclusively responsible for the security and confidentiality of your login credentials and for all use of the Services and all related charges that may arise from such use of the Services in connection with your login credentials, with or without your knowledge.

4. Confidentiality and other features

4.1 Confidentiality

Voxket treats all content you submit through the Platform ("Your Information") as confidential and uses it solely for the purpose of delivering and improving the Services. We will not disclose Your Information to any third party except to our personnel, service providers, or affiliates who require access to perform their duties and who are bound by similar confidentiality obligations.

4.2 Voice Cloning

Voxket offers a voice cloning feature that enables the synthesis of voice recordings based on audio submitted by a "Voice Provider"—a person (including yourself) who has provided explicit written consent for their voice to be used to train our AI models. By submitting voice recordings ("Training Audio"), you represent and warrant that you have obtained such consent from the Voice Provider.

4.3 Video Cloning

Voxket offers a video cloning feature that enables the synthesis of video content based on footage submitted by a "Video Provider"—a person (including yourself) who has provided explicit written consent for their likeness, gestures, facial expressions, and other visual attributes to be used to train our AI models.

5. Intellectual Property Rights, Ownership and Grants

5.1 Your Content

When you use Voxket, any data, media, prompts, inputs, or other materials transmitted to or uploaded via the Platform—including audio, video, screen data, transcripts, and metadata—constitutes your content ("Your Content"). You retain full ownership of all rights, title, and any associated Intellectual Property Rights in Your Content.

5.2 Rights you grant Voxket

You grant Voxket a limited, worldwide, royalty-free, sublicensable license to host, process, cache, modify, display, analyze, transmit, and otherwise use ("Handle") Your Content—but strictly for the purpose of providing the Services to you.

5.3 Feedback

By submitting ideas, enhancements, or feature suggestions ("Feedback"), you acknowledge that Voxket has no confidentiality obligations related to such Feedback and grant Voxket a royalty-free, perpetual, irrevocable, sublicensable, transferable, and worldwide license to use, modify, publish, and commercialize the Feedback.

6. Aggregate Usage Statistics

Voxket may monitor and log your usage of the Services and collect data in an aggregated and anonymized form ("Aggregate Statistics"). These Aggregate Statistics are owned exclusively by Voxket and may be used for internal analytics, service optimization, and ongoing development of our Platform.

7. Communications and Notifications

By using the Services, you consent to receive communications from Voxket, including service-related notifications, product updates, platform maintenance alerts, and general announcements. These communications may be sent via email, push notifications, or in-app messaging.

8. Terms and Termination

8.1 Term

These Terms commence on the earlier of the date you first opened an Account to use the Services or the date when you accepted these Terms, and will remain in full force and effect while you use the Services, unless terminated earlier.

8.2 Termination by Voxket AI

Voxket may suspend or terminate your access to the Services immediately, with or without notice, if you materially breach these Terms, continued service would violate applicable law, or it becomes technically or commercially infeasible to continue offering the Services.

8.3 Termination by You

You may terminate your use of the Services at any time by notifying us in writing through email or any electronic means.

9. Changes to Terms

Voxket AI reserves the right to modify these Terms at any time. Updated versions will be posted on the Website and are effective immediately. Your continued use constitutes acceptance of the new Terms.

10. Indemnification

You agree to indemnify, defend, and hold harmless Voxket and its affiliates from any claims, liabilities, damages, losses, costs, and expenses arising out of your use of the Services, violation of these Terms, or any third-party claims related to Your Content.

11. Disclaimer of Warranties and Conditions

The Voxket Services are provided "as is" and "as available," without warranties of any kind. Voxket disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law, Voxket shall not be liable for any indirect, incidental, special, consequential, or exemplary damages. Each party's total cumulative liability shall not exceed the greater of USD $100 or the total amount paid by you for the Services in the twelve months preceding the claim.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India. Any disputes shall be resolved through negotiation, mediation, and if necessary, binding arbitration in Bengaluru, India, in accordance with the Arbitration and Conciliation Act, 1996.

14. International Use

You acknowledge that your data may be processed and stored in India or other jurisdictions where Voxket operates. You are responsible for ensuring compliance with all applicable laws in your jurisdiction.

15. Severability, Waiver

If any provision is found unenforceable, it will be severed without affecting the validity of remaining provisions. Any waiver of these Terms on one occasion will not be deemed a waiver on any other occasion.

16. Assignment

You may not assign any rights or obligations under these Terms without prior written consent from Voxket. Voxket may assign these Terms without requiring your approval.

17. Notice

All notices must be in writing and will be considered duly given when delivered personally, sent via courier, certified mail, or email. You may send notices to Voxket at support@voxket.ai.

18. Force Majeure

Voxket shall not be liable for delays or failures due to events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, or failures of third-party service providers.

19. Final Terms

These Terms constitute the final, complete, and exclusive agreement between you and Voxket with respect to the Services and supersede all prior agreements relating to the same subject matter.
